Terms and Conditions for Copywriting Services

1. Introduction

These Terms and Conditions ("Agreement") govern the services provided by Suzanne Frear ("Copywriter") to the client ("Client"). By engaging the Copywriter, the Client agrees to the following terms and conditions.

2. Services

The Copywriter agrees to provide copywriting services as outlined in the project brief, which may include, but is not limited to, the creation of written content, editing, and consultation. Any additional services requested by the Client will require a separate agreement and may incur additional fees.

3. Project Scope

The scope of work, including deadlines, deliverables, and revisions, will be agreed upon by both parties before the commencement of the project. Any changes to the project scope may result in adjustments to the timeline and fees.

4. Fees and Payment

a. Pricing: The Client agrees to pay the Copywriter the fees as outlined in the project contract or invoice. Fees may be based on an hourly rate or a flat fee, as agreed upon.

b. Payment Terms: Payments are due within 7 days of invoice. The Copywriter reserves the right to halt work or withhold delivery of completed work until payment is received in full.

c. Deposit: A deposit of 25% is required upon signing the agreement. This deposit guarantees the Copywriter’s availability and blocks time in their calendar specifically for the Client’s project. The deposit is non-refundable.

d. Late Payments: A late payment fee of 5% per week will be applied to any overdue amounts. If the Client fails to make payment within 28 days of the due date, the Copywriter may terminate the agreement.

5. Revisions

The Copywriter offers 3 rounds of revisions as part of the agreed-upon fee. Additional revisions will be charged at the Copywriter's standard hourly rate.

6. Client Responsibilities

a. Provision of Materials: The Client is responsible for providing all necessary input, materials, and feedback required for the Copywriter to complete the work as agreed. This includes, but is not limited to, providing a detailed brief, access to necessary resources, and timely responses to queries.

b. Timely Input for Recurring Work: For monthly recurring clients, it is the Client’s responsibility to provide the Copywriter with the brief for each month’s work in a timely manner. If the Client fails to provide the brief within the agreed timeframe, the Copywriter will honour the outstanding work for up to one additional month as a rollover. After this period, the work will not be carried forward, and the Client will forfeit the service for that month without any refund or credit.

7. Intellectual Property

a. Ownership: Upon receipt of full payment, the Client will own the rights to the final content. The Copywriter retains the right to use the content for portfolio purposes, unless otherwise agreed upon in writing.

b. Originality: The Copywriter guarantees that all work produced is original and does not infringe upon the rights of any third party. Any use of third-party content will be properly credited and used with permission.

8. Confidentiality

The Copywriter agrees to keep all project-related information confidential and will not disclose any details to third parties without the Client’s consent, except as required by law.

9. Cancellation and Termination

a. Cancellation by Client: The Client may cancel the project at any time. However, the Client will be responsible for payment of work completed up to the point of cancellation.

b. Termination by Copywriter: The Copywriter reserves the right to terminate the agreement if the Client breaches any terms or fails to make payment. In such cases, the Client will be responsible for payment of completed work.

10. Limitation of Liability

The Copywriter's liability is limited to the amount of fees paid by the Client for the services. The Copywriter is not responsible for any indirect, incidental, or consequential damages arising from the use of the content.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from this Agreement shall be resolved in the courts of England.

12. Entire Agreement

This Agreement constitutes the entire understanding between the parties and supersedes all prior discussions, agreements, or understandings of any kind. Any amendments must be made in writing and signed by both parties.

13. Acceptance of Terms

By engaging the Copywriter’s services, the Client acknowledges that they have read, understood, and agreed to these Terms and Conditions.
